STANDARD TERMS AND CONDITIONS OF SALE


    Terms and Conditions of Sale

    1. Waiver of Client's Standard Terms and Conditions
      The client explicitly waives the application of its own standard terms and conditions, even if established or communicated after acceptance of these terms and conditions of sale. Any deviation from these terms must be expressly agreed upon in advance and in writing to be valid.
    2. Product Quality and Compliance
      • Kilang Mee LD Sdn. Bhd. guarantees that all products comply with applicable food safety regulations and quality standards at the time of delivery.
      • The company is not liable for damages or quality issues resulting from improper storage, handling, or use of the products by the client or third parties.
    3. Payment Terms
      • All invoices are payable in cash upon delivery, unless an alternative payment timeframe is indicated on the invoice or order.
      • In the event of non-payment by the due date, Kilang Mee LD Sdn. Bhd. reserves the right to charge a fixed interest of 10% on the outstanding amount.
      • In cases of late payment, Kilang Mee LD Sdn. Bhd. reserves the right to suspend any service or product delivery without prior notice.
      • If payment remains outstanding for more than 60 days, Kilang Mee LD Sdn. Bhd. may engage a debt recovery agency. All associated costs will be borne by the client.
    4. Delivery and Risk Transfer
      • Delivery timelines are estimates and subject to change due to unforeseen circumstances.
      • Risk and ownership of the goods transfer to the client upon delivery, unless otherwise specified.
      • The client must inspect goods upon receipt and report any visible defects or discrepancies within 48 hours.
    5. Shelf Life and Storage
      • The client is responsible for adhering to all storage and handling instructions provided by Kilang Mee LD Sdn. Bhd. to ensure product quality.
      • The company is not liable for damages or losses resulting from failure to follow these instructions.
    6. Recalls and Liability
      • In the event of a product recall, Kilang Mee LD Sdn. Bhd. will notify the client and coordinate the recall process as required by law.
      • Liability for damages is limited to the replacement of the affected goods or a refund of the purchase price, except in cases of gross negligence or willful misconduct.
    7. Withholding Tax
      • In jurisdictions where withholding tax applies, the client shall remit the tax to the relevant authorities. Under no circumstances shall Kilang Mee LD Sdn. Bhd. be liable for such costs. The invoice amount remains fully payable and excludes deductions or additional costs arising from the client’s local tax regulations.
    8. Force Majeure
      • Kilang Mee LD Sdn. Bhd. shall not be held liable for delays or non-performance resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, or supply chain disruptions.
    9. Claims and Notifications
      Any claims must be submitted in writing by recorded delivery to Kilang Mee LD Sdn. Bhd. within 24 hours of the delivery of goods or services. Claims outside this timeframe will not be considered.
    10. Governing Law and Dispute Resolution
  • All our contractual relations will be governed exclusively by Malaysia law.
  • Any disputes shall be resolved amicably, failing which they will be submitted to the exclusive jurisdiction of the courts of Malaysia.
